1) Acceptance of Terms

By accessing or using our websites, donor portals, forms, or other online services (collectively, the “Services”), you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2) Who We Are and What We Do

EIF provides fiscal sponsorship and related services to charitable initiatives that align with our mission. Sponsored projects operate under EIF’s charitable umbrella and are not separate tax-exempt entities. EIF retains full legal and fiduciary control over all funds, consistent with IRS requirements for fiscal sponsorship.

3) Eligibility and Accounts

You must be at least 18 to use the Services or make a donation. If you create an account, you agree to provide accurate information and to keep your credentials secure. You are responsible for activity in your account.

4) Donations, Receipts, and Variance Power

All donations to EIF are gifts to EIF, a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code, and are made for the charitable purposes of EIF. Donor preferences for a particular sponsored project are non-binding advisory recommendations. EIF retains exclusive legal control over contributed funds and full discretion and variance power to modify any restriction if it becomes unnecessary, impossible, impracticable, or inconsistent with EIF’s mission or applicable law. Official tax receipts are issued by EIF. Consult your tax advisor about deductibility.

5) Recurring Gifts, Refunds, and Chargebacks

If you authorize a recurring donation, you allow EIF or our payment processor to charge your payment method on the stated schedule until you cancel. You can cancel future charges at any time through your account or by contacting us. Because EIF promptly deploys funds to charitable use, refund requests are evaluated case by case. Unauthorized charges should be reported to your bank and to us.

6) Payment Processing

Payments may be processed by third-party processors. By donating, you agree to their terms and privacy practices. EIF does not store full card or bank account numbers. You authorize us and our processors to verify your identity and payment details as needed to prevent fraud.

7) No Professional Advice

Content on the Services is for general information only and is not legal, tax, accounting, investment, medical, or other professional advice.

8) User Content and Feedback

If you submit content or feedback, you grant EIF a worldwide, royalty-free license to use, reproduce, modify, and display it for our charitable purposes. Do not submit content that violates law or the rights of others.

9) Acceptable Use

You agree not to:
a) violate laws or regulations;
b) infringe intellectual property or privacy rights;
c) upload malware or interfere with the Services;
d) scrape, bulk harvest, or attempt to bypass security;
e) misrepresent your identity or affiliation.

10) Intellectual Property

The Services, including text, graphics, logos, and software, are owned by EIF or our licensors and are protected by law. You may use them only for lawful, nonprofit or personal purposes related to EIF.

11) Third-Party Links and Services

Links to third-party sites are provided for convenience. EIF is not responsible for their content or practices. Your use of third-party services is at your own risk.

12) DMCA Notices

If you believe content on the Services infringes your copyright, send a notice to our DMCA agent at [dmca@equityimpactfund.org] with: your contact info, identification of the work and material, a statement of good-faith belief, and your signature. Misuse may subject you to liability.

13) Disclaimer of Warranties

The Services are provided “as is.” EIF disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14) Limitation of Liability

To the fullest extent permitted by law, EIF will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or data, arising from your use of the Services. EIF’s total liability will not exceed the greater of one hundred dollars or the amount you paid to EIF for the specific service giving rise to the claim.

15) Indemnification

You agree to defend, indemnify, and hold harmless EIF and our officers, directors, employees, and agents from claims, damages, and expenses arising from your use of the Services or violation of these Terms.

16) Dispute Resolution, Governing Law, and Venue

These Terms are governed by the laws of the State of Arkansas without regard to conflict of laws rules. You agree to the exclusive jurisdiction and venue of state and federal courts located in Benton County, Arkansas. If you prefer binding arbitration with a class-action waiver, we can include that option on request.

17) Termination

EIF may suspend or terminate access to the Services at any time for any reason. Sections intended to survive termination will continue to apply.

18) Changes to the Services or Terms

We may update the Services and these Terms from time to time. Material changes will be posted with a new Effective Date. Continued use after changes constitutes acceptance.

19) International Users

EIF is based in the United States. If you access the Services from outside the U.S., you consent to the transfer and processing of your information in the U.S., subject to our Privacy Policy.
